and use of this Website.
By accessing or using this Website, you agree to be bound by these Terms and
Conditions and accept them in full, as they may be modified by NorthShore Care Supply (NorthShore) from
time-to-time and posted on this Website.
No Warranties. Although NorthShore attempts to provide accurate information,
names, images, pictures, logos, icons, documents, and materials (collectively, the

basis. Use of the Website and its contents is at the user's sole risk. The Website
and its contents are provided without any representations, endorsements, or warranties
of any kind whatsoever, either express or implied, including, but not limited to, any

for a particular purpose, or non-infringement, with the sole exception of warranties
(if any) which cannot be expressly excluded under applicable law. As noted below,
NorthShore also makes no representations, endorsements, or warranties, either
express or implied, with respect to any website operated by a third party. In no
event will NorthShore or its subsidiaries, affiliates, contractors, or respective
employees be liable for any damages, including, without limitation, indirect,
incidental, special, consequential or punitive damages, whether under a contract,
tort or any other theory of liability, arising in connection with any failure of
performance, error, omission, interruption, defect, delay in operation or transmission,
computer virus, line system failure, loss of data, or loss of use related to this
Website or any website operated by any third party or any contents of this Website or
any other website, even if NorthShore is aware of the possibility of such damages.
Use of Website. Contents are included in this Website solely for the personal use of
Website users. You may not resell, republish, or copy (other than a copy for personal
use), any of the Contents of this Website without the prior written consent of
NorthShore, which may be withheld in its sole discretion.
Copyrights and Other Intellectual Property. Except where otherwise expressly noted,
all Contents of this Website, including the graphics, icons and overall appearance of
the Website, are the sole and exclusive property of NorthShore. The posting of the
Contents of this Website neither constitutes a waiver of any of NorthShore's
proprietary rights, including but not limited to, copyrights, trademarks, servicemarks,
patents, and other intellectual property, nor a transfer or license by implication,
estoppel, or otherwise of any such right or of any license to the Website user or to
any third party. Contents of this Website are protected by United States and
international copyright laws, both as individual works and as a collection. You agree
not to delete any copyright or similar notice from any Contents you obtain from the

one or more Websites operated by third parties. NorthShore has no control over
any such other Websites or the contents therein. The existence of any such links
shall not constitute an endorsement by NorthShore of such Websites, the contents
of the Websites, or the operators of the Websites.
Transmissions to and from this Website. Transmissions to and from this Website are not
confidential and your communications may be read or intercepted by others. Any
transmission to this Website shall be deemed and remain the property of NorthShore.
NorthShore shall be free to use, for any purpose, any ideas, concepts, know-how,
or techniques provided by a Website user to NorthShore through this Website.
Limitations on Products and Services. NorthShore provides access to NorthShore
international data and, therefore, may contain references or cross references to NorthShore
products and services that are not available, or readily available, in your country.
Such reference does not imply that NorthShore intends to market such products or
services in your country. All actions resulting from a search of this data must be
related to solutions using only products and services announced by NorthShore in
Modifications. NorthShore may at any time make modifications, changes, and
alterations to the Contents of this Website, including these Terms and Conditions,
without prior notice.
Governing law. These Terms and Conditions shall be governed by and construed in
accordance with the law of the USA, without regard to the conflict of laws thereof.
Severability. To the extent any portion of these Terms and Conditions is determined to
be unenforceable by a court of competent jurisdiction, such portion will be modified by
the court solely to the extent necessary to cause such portion to be enforceable, and
these Terms and Conditions, as so modified, shall remain in full force and effect.
Waiver. No waiver by NorthShore of any right under or term or provision of these
Terms and Conditions will be deemed a waiver of any other right, term, or provision of
these Terms and Conditions at that time or a waiver of that or any other right, term,
or provision of these Terms and Conditions at any other time.
Sales Tax Exemptions. Purchasers from NorthShore that claim their purchases are exempt from sales and/or use taxes must provide valid documentation to NorthShore before sales and/or use taxes will be removed from transaction. Transactions exempt for resale purposes must provide valid resale certificate. Transactions exempt for governmental or non-profit use must provide state exemption letter and payment must be made directly from exempt organization. NorthShore requires written proof that exempt governmental and non-profit transactions are being paid directly from the organization. Transactions paid by employees or contractors for future reimbursement by exempt organizations will not qualify as exempt transactions from NorthShore; rather only transactions where exemption letter from state is provided AND payment is made directly by the exempt organization. For other exemptions not mentioned here, NorthShore will review on a case by case basis and request specific documentation as applicable.
Kentucky Sales & Use Taxes. NorthShore Care Supply is not required to and does not collect Kentucky sales or use tax. However, effective July 1, 2013, purchases delivered to Kentucky addresses may be subject to Kentucky use tax unless the purchase is exempt from taxation in Kentucky. The purchase is not exempt merely because it is made over the internet, by catalog, or by other remote means. The Commonwealth of Kentucky requires Kentucky purchasers to report all purchases of tangible personal property or digital property that are not taxed by the retailer and pay use tax on those purchases unless exempt under Kentucky law. The tax may be reported and paid on the Kentucky individual income tax return or by filing a consumer use tax return with the Kentucky Department of Revenue.
